These Terms of Service ("Terms") govern your access to and use of the services provided by Amos Operations Consulting, LLC ("Amos Operations," "we," "us," or "our"). By engaging our services or using our website, you agree to these Terms. If you do not agree with any part of these Terms, please do not use our services.

Amos Operations Consulting, LLC provides direct, reliable support to organizations managing personnel projects and office operations without the overhead of a large firm. Our services may include, without limitation, personnel project support, HR-related process guidance, employee handbook and written procedure development, office operations consulting, and other related advisory services as agreed upon in a specific engagement. The exact scope, deliverables, timeline, and fees for any engagement will be outlined separately in a proposal, statement of work, or engagement letter agreed to by both parties. These Terms apply in addition to, and alongside, any such agreement.
What you bring matters more than you think
A consulting engagement works best when both sides come prepared. We ask you to share accurate information, follow the agreed scope, and use our work as intended under these terms. Specifically, you agree to: provide complete and accurate information relevant to the project so we can do our work effectively; make timely decisions and provide feedback so the engagement can move forward on schedule; designate someone within your organization with the authority to communicate with us and approve deliverables; and use any documents, procedures, handbooks, or advice we provide for their intended business purpose within your own organization, rather than reselling, redistributing, or repurposing them for unrelated ventures. You remain responsible for the final decisions your organization makes, including how and whether to implement any recommendation, procedure, or document we provide.
Who owns the materials you create for us?
You keep full ownership of any intellectual property you share with us. Our deliverables, including written procedures and handbooks, remain our property unless we agree otherwise in writing. This means any pre-existing materials, data, templates, or proprietary information you provide to us for the engagement remain yours. At the same time, custom deliverables we create for you — including handbooks, written procedures, templates, and other materials — remain the intellectual property of Amos Operations Consulting, LLC. Upon full payment for the engagement, we grant you a non-exclusive, perpetual license to use those deliverables for your own internal business operations. Unless we've agreed otherwise in a signed writing, you may not resell, sublicense, or distribute our deliverables to third parties outside your organization, and we retain the right to use general knowledge, skills, and non-confidential techniques developed during an engagement in our work with other clients.
Two boundaries worth knowing
Our services are provided based on professional experience and good-faith effort, but we cannot guarantee specific outcomes, results, or legal compliance for your organization. HR and personnel matters can involve complex, jurisdiction-specific legal requirements, and our recommendations are not a substitute for advice from a licensed attorney, CPA, or other credentialed professional where such advice is needed (see our Disclaimer for more detail on our qualifications). To the fullest extent permitted by law, Amos Operations Consulting, LLC is not liable for any indirect, incidental, special, or consequential damages arising from or related to our services, including but not limited to lost profits, lost data, or business interruption. Our total liability for any claim arising out of an engagement will not exceed the total fees paid to us for that specific engagement. We make no warranties, express or implied, regarding the services provided, except as expressly stated in a signed engagement agreement.
Maryland law governs these terms
These Terms, and any dispute arising out of or relating to our services, will be governed by and construed in accordance with the laws of the State of Maryland, without regard to its conflict-of-law principles. Any legal action or proceeding arising under these Terms will be brought exclusively in the state or federal courts located in Montgomery County, Maryland, and you consent to the jurisdiction and venue of those courts.
